Terms of Service

1. Acceptance of Terms

By accessing or using the TownshipWorks platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using TownshipWorks on behalf of a township or government entity, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

TownshipWorks is a software-as-a-service platform that enables small township governments to manage permit applications, meeting agendas, service requests, and vendor directories online. The Service includes a staff-facing dashboard and a public-facing citizen portal.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@townshipworks.com of any unauthorized use of your account. TownshipWorks will not be liable for any loss resulting from unauthorized use of your account.

You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.

4. Subscription and Payment

Township accounts are billed at a flat rate of $99 per month. Billing occurs monthly on the anniversary of your subscription start date. All fees are non-refundable except as required by law or expressly stated in these Terms.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not prorate partial months.

We reserve the right to change our pricing with at least 30 days' notice to active subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial

New township accounts receive a 30-day free trial with full access to all features. No credit card is required to start. At the end of the 30-day trial period, a valid payment method is required to continue using the Service. We reserve the right to modify or discontinue free trial offerings at any time.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or transmit malicious code, viruses, or other harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Impersonate any person, township, or entity
• Use the Service to collect or harvest personal information without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Township administrators are responsible for ensuring their use of citizen data collected through the platform complies with applicable privacy laws.

8. Intellectual Property

TownshipWorks and its licensors own all intellectual property rights in the Service, including the software, design, trademarks, and documentation. These Terms do not grant you any rights to use our trademarks, logos, or brand features.

You retain ownership of all data and content you submit to the Service. You grant TownshipWorks a limited license to store, process, and display that content solely to provide the Service to you.

9. Uptime and Support

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, unexpected outages, or third-party service failures may temporarily affect availability. Support is available by email at info@townshipworks.com.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOWNSHIPWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TOWNSHIPWORKS IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your right to access the Service ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
